AUTHORIZATION AGREEMENT


This agreement dated as of  _________, is made by Sierra On-Line, Inc., its parent, 
subsidiaries and affiliates ("Sierra") and ___________________ ("Licensor").  

"Licensed Materials" means the attached story, related information, and images 
provided by Licensor.

License and Consideration
-------------------------

Licensor hereby grants Sierra a perpetual, worldwide, fully paid, royalty free license 
to use, reproduce, distribute, modify, display, publicly perform and make derivative 
works of the Licensed Materials, as part of and in connection with Sierra's product, 
Arcanum, including all versions, sequels, platforms, and media whether now known or 
hereafter devised (collectively the "Product").

As full and complete consideration for the rights granted to Sierra hereunder, Sierra 
will cause an appropriate form of credit to appear in any Product sold or distributed 
that contains any Licensed Materials. 

Representations
---------------

Licensor represents and warrants to Sierra that (a) Licensor owns all right, title 
and interest in and to the Licensed Materials; and (b) the Licensed Materials do 
not misappropriate or infringe upon any contractual right or copyright of any 
third party and do not contain any matter that is libelous or defamatory.
